1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Callne Inc. ("Callne", "we", "us", or "our") governing your access to and use of the callne.com website and our AI-powered outbound sales acceleration platform (collectively, the "Services").

By accessing or using our Services, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access the Services.

2. Description of Services

Callne provides an AI-powered outbound sales acceleration platform that combines autonomous conversational AI with live human handoffs to execute high-volume outreach and book qualified meetings for B2B sales teams. Our Services include:

  • AI-powered voice calling capabilities
  • SMS and email outreach integration
  • Real-time call monitoring and coaching tools
  • CRM integrations
  • Analytics and reporting dashboards
  • Compliance management tools

3. Account Registration

To access certain features of our Services, you must register for an account. When you register, you agree to:

  • Provide accurate, current, and complete information
  • Maintain and promptly update your account information
  • Maintain the security of your password and accept all risks of unauthorized access
  • Immediately notify us of any unauthorized use of your account

You are responsible for all activities that occur under your account.

4. Acceptable Use

You agree not to use the Services to:

  • Violate any applicable laws, regulations, or third-party rights
  • Make calls in violation of the Telephone Consumer Protection Act (TCPA) or similar regulations
  • Engage in harassment, fraud, or deceptive practices
  • Transmit malicious code or interfere with the Services
  • Access accounts or data belonging to others without authorization
  • Use the Services for any illegal or unauthorized purpose
  • Resell, sublicense, or provide access to the Services to unauthorized third parties

5. TCPA Compliance

You are solely responsible for ensuring that your use of the Services complies with the Telephone Consumer Protection Act (TCPA), Federal Communications Commission (FCC) regulations, and all other applicable federal, state, and local laws regarding telemarketing and automated calling.

You represent and warrant that you:

  • Have obtained all necessary consents before initiating calls
  • Maintain records of consent as required by law
  • Honor all Do Not Call requests promptly
  • Will not call numbers on the National Do Not Call Registry without exemption

6. Payment Terms

Certain aspects of the Services are provided for a fee. You agree to pay all fees associated with your selected plan. Fees are billed in advance on a monthly basis and are non-refundable except as expressly stated in these Terms.

We reserve the right to modify our pricing at any time. Any price changes will be communicated to you at least 30 days in advance and will take effect at the start of your next billing cycle.

7. Cancellation and Termination

You may cancel your subscription at any time by providing 30 days written notice. Upon cancellation:

  • Your access to the Services will continue until the end of your current billing period
  • No refunds will be provided for partial months
  • You may export your data within 30 days of cancellation

We may terminate or suspend your account immediately, without prior notice, if you breach these Terms.

8. Intellectual Property

The Services and their original content, features, and functionality are owned by Callne and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

You retain ownership of any content you submit through the Services. By submitting content, you grant Callne a worldwide, non-exclusive, royalty-free license to use, reproduce, and display such content in connection with providing the Services.

9. Confidentiality

Each party agrees to hold the other party's confidential information in strict confidence and not to disclose such information to any third parties except as necessary to perform obligations under these Terms.

10. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Services will be uninterrupted, error-free, or completely secure.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CALLNE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY.

Our total liability for any claim arising out of or relating to these Terms or the Services shall not exceed the amount you paid to us during the twelve (12) months preceding the claim.

12. Indemnification

You agree to indemnify, defend, and hold harmless Callne and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising out of your use of the Services, your violation of these Terms, or your violation of any third-party rights.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved exclusively in the state or federal courts located in San Francisco County, California.

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of the Services after such changes constitutes acceptance of the modified Terms.
